End-User License Agreement

This End-User License Agreement ("Agreement") is a legal agreement between you ("User") and Solutions Exia Inc. ("Company"), governing the use of the software application ("Application") developed to retrieve and process data from QuickBooks for internal purposes.
1. License Grant
The Company grants the User a non-exclusive, non-transferable, revocable license to use the Application strictly for internal business operations. This software is not for resale or public distribution.
2. Restrictions
The User agrees not to:
- Modify, distribute, or sublicense the Application.
- Reverse engineer, decompile, or attempt to extract the source code.
- Use the Application for any unauthorized or unlawful purpose.
3. Data Usage and Privacy
The Application interacts with QuickBooks data via API calls. The User acknowledges that:
- The Application only retrieves and processes data from an existing QuickBooks account.
- The Company does not store or share QuickBooks data beyond the intended internal use.
- The User is responsible for complying with QuickBooks' terms of service.
4. Disclaimer of Warranties
The Application is provided "as is" without any warranties, express or implied. The Company does not guarantee that the Application will always function without errors or interruptions.
5. Limitation of Liability
The Company shall not be liable for any direct, indirect, incidental, or consequential damages resulting from the use or inability to use the Application.
6. Termination
This Agreement is effective until terminated. The Company may revoke the User's license at any time if there is a breach of this Agreement. Upon termination, the User must cease all use of the Application.
7. Governing Law
This Agreement shall be governed by the laws of Canada province of Quebec, without regard to conflict of law principles.
